Vonage Business Referral Program Rules

Program Overview: The Vonage Business Referral Program is offered by Vonage Marketing, LLC (“Vonage”) and provides the opportunity to refer your friends, colleagues, and associates to Vonage Business and receive compensation. You do not have to be a Vonage customer to participate in the Referral Program.

Promotion Details: Vonage will award cash or an account credit (“Reward”) to any Eligible Referrer (as defined below) who refers an Eligible New Customer (as defined below) in compliance with these Referral Program Rules (“Rules”). Rewards will be calculated based on the number of unlimited or metered lines activated by the Eligible New Customer at ninety (90) days of service. The Reward will be issued only after the Eligible New Customer’s account has been active and in good standing for ninety (90) days. If an award of cash is elected, a W-9 tax form must be completed and submitted prior to issuance of the Reward. Vonage reserves the right to add, modify and/or delete any Rewards and/or requirements to receive any Rewards. Vonage’s decision with respect to all aspects of the Cash Referral Program is final and binding.

Definition of an Eligible Referrer: To qualify as an “Eligible Referrer: (1) you must be a legal resident of the fifty (50) United States and District of Columbia or Canada, who is 18 years of age or older, and (2) if you are an existing Vonage customer, your existing account(s) must be active and in good standing at the time of the referral and must remain active and in good standing for a minimum of ninety (90) days after the account for the Eligible New Customer that you referred has been activated. Existing Vonage Business customers, and former Vonage Business customers whose accounts were cancelled or terminated as of November 18, 2013, are prohibited from referring themselves. Business owners are prohibited from referring their respective business(es) and are ineligible to receive a reward. Employees are prohibited from referring their respective employers and are ineligible to receive a reward. Vonage Partner Program participants are ineligible to receive a reward pursuant to this Referral Program.

Definition of an Eligible New Customer: An “Eligible New Customer” is a business that (1) is not currently, and has never previously been, a Vonage Business customer, (2) is not already registered as a Vonage Business lead in Vonage’s records, (3) signs up for a Vonage Business plan with one or more unlimited or metered extensions while this Referral Program is still active, and (4) that maintains an active Vonage Business account in good standing for at least ninety (90) days after activation of account in compliance with Vonage Business' Terms of Service. Former Vonage Business customers are prohibited from qualifying as an Eligible New Customer.

How to Earn Rewards: In order to be eligible to earn Rewards, you must first complete the registration process at referral.rewards.vonagebusiness.com (“Referral Website”). Once you have completed the registration process, you will have the option of making referrals in two (2) ways: (1) by submitting your referrals directly to Vonage via the form provided on the Referral Website, and/or (2) by using the tools provided on the Referral Website to create a personal link which you can then share via social media and/or email. If a business clicks on your personal link and follows the instructions to sign up for a Vonage Business plan, and if that referred business ultimately qualifies as an Eligible New Customer, you will be eligible for a Reward for the referral(assuming you meet the definition of Eligible Referrer above).

If you choose to invite businesses to sign up for Vonage Business via social media and/or email then (1) you must include the personal link provided to you from the Referral Website in your post/email, (2) you must state in your post/email that you are participating in this Referral Program and are eligible to receive Rewards, and (3) your post/email must be created and distributed in a personal manner that is appropriate and customary for communications with friends, colleagues and family members.

If an Eligible New Customer is referred by more than one Eligible Referrer, only the original Eligible Referrer validated by Vonage Business shall be entitled to receive the Reward.

You agree not to abuse the tools in the Referral Website by conduct which is detrimental to the interests of Vonage, including without limitation, attempting to make referrals or receive rewards in a manner inconsistent with these Rules or the intent of these Rules, attempting to earn rewards through illegitimate channels, participating in fraud, or tampering with Referral Program or its tools.

Reward Issuance: : If there are options within the Program for method of Reward issuance (e.g., cash or account credit), it is the sole responsibility of the Eligible Referrer to communicate the desired method of Reward issuance to their Vonage Business sales rep, or Customer Care at 866-901-0242. If the Eligible Referrer submitted the Eligible New Customer via the form on the Referral Website, the Reward method (i.e., cash or account credit) will be determined based on the selection made by the Eligible Referrer on such form. A W-9 form must be completed, submitted and approved for all Rewards, regardless of method, prior to issuance of Reward. The W-9 form must match the name of the person or company receiving the award. If no specific election of Reward issuance method has been made, the Reward will be issued to the Eligible Referrer in the form of a check. If a valid W-9 form has not been received and approved within one hundred and eighty (180) days of Reward eligibility ninety (90) days after New Customer has activated their account), the Reward will be forfeited. In the event the Eligible Referrer’s account has a past due balance, that balance will be deducted from the Reward. Rewards are considered taxable income and are subject to local, state and federal taxes. When the value of the reward items for which you have redeemed points reaches $600 or more in a calendar year, a 1099 tax form will be generated and mailed to you for tax reporting purposes. Vonage recommends that you keep all statements sent to you for your record keeping purposes.

General Conditions: By participating in the Referral Program, you agree (i) to release, discharge, indemnify and hold harmless Vonage, its parent, subsidiaries, affiliates, retailers, and advertising and promotion agencies, and all of their respective officers, directors, shareholders, employees and agents (collectively, “Released Parties”) from any liability or damages which may arise out of participation in the Referral Program or out of the acceptance, use, misuse or possession of any Reward or products attained through this Referral Program. All applicable federal, state and local laws and regulations apply.

Released Parties are not responsible for late, lost, incomplete, delayed, inaccurate, garbled, undelivered, misdirected referrals or Rewards or other errors or problems of any kind relating to or in connection with the Referral Program, whether printing, typographical, technical, computer, network, human, mechanical, electronic or otherwise, including, without limitation, errors or problems which may occur in connection with the administration of the Referral Program, the verification of Eligible New Customers, the tracking of referrals and Eligible New Customers, the announcement of the Rewards or in any Referral Program-related materials. Persons found tampering with or abusing any aspect of this Referral Program, who are acting in a disruptive or unsportsmanlike manner or who are otherwise not in compliance with these terms as solely determined by Vonage will be disqualified and all points will be void. Released Parties are not responsible for injury or damage to participants' or to any other person's computer related to or resulting from participating in this Referral Program or downloading materials from or use of the Referral Website.

Vonage reserves the right at any time to modify, suspend or cancel Referral Program at any time. Any changes Vonage makes will be effective immediately on notice, which it may give either by posting the new terms on the Referral Website or via e-mail. Your participation in the Referral Program after such notice will be deemed acceptance of such changes. You should review these Rules periodically to ensure familiarity with the most current version. You will always be able to tell when the version was last updated by checking the "Last Revised" date at the top of these Rules. All questions or disputes regarding the Referral Program, including without limitation, those involving eligibility, participation, fraud and abuse will be resolved by Vonage.

Your participation in the Referral Program constitutes permission for Vonage and its designees to use your name, biographical information, image, likeness and/or statements about the Referral Program for advertising, trade, promotional and other purposes, in any manner, in any and all media now or hereafter devised, worldwide, in perpetuity, without additional compensation, notification or permission, unless prohibited by law.

Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, or the rights and obligations of the participant and Vonage in connection with the Referral Program, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules (whether of the State of New York, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.

Referral Points Program Rules

ELIGIBILITY: The Vonage Business Referral Points Program ("Program") is open to legal residents of the fifty (50) United States and District of Columbia who are 18 years of age or older. If you are an existing Vonage customer, to participate, your existing account(s) must be active and in good standing and must remain active and in good standing to earn points and redeem for rewards. Existing Vonage business customers, and former Vonage customers whose accounts were cancelled or terminated as of November 18, 2013 are prohibited from referring themselves as a Qualified Referral (as defined below). Owners and employees are prohibited from referring their respective employers as Qualified Leads and are ineligible to receive points for such referral. Void where prohibited by law. You do not have to be a Vonage customer to participate in the Program. You are responsible for complying with all applicable employer policies associated with participation in programs of this nature. By participating, you agree (i) to these Terms and (ii) to the decisions of Vonage Marketing, LLC ("Vonage"), which are final and binding in all respects.

HOW TO EARN POINTS:

You can earn points as part of this Program by participating, through the Program referral website located at referral.rewards.vonagebusiness.com (the "Referral Website"), in the activities described in the chart below (each, a "Qualified Activity" and, collectively, "Qualified Activities"). In order to be eligible to earn points, you must first complete the registration process on the Referral Website. Each time you return to the Referral Website to complete one or more Qualified Activities, you must login in order to receive credit for those completions.

The chart below sets forth each Qualified Activity, the points you can earn for completing each Qualified Activity, and any limitations placed on the total points you can earn for each Qualified Activity*:

For the purpose of this Program, a week will begin at 12:01 a.m. Pacific Time ("PT") on Sunday and end at 11:59 p.m. PT on the following Saturday.

*At various times throughout the Program Period and/or in select communications, Vonage reserves the right to offer a different number of points than stated herein for completing a specific Qualified Activity, in its sole discretion ("Special Points Offers"). You must be the direct and intended recipient of a Special Points Offer in order to be eligible to receive those points.

Vonage reserves the right to add, modify and/or delete any Qualified Activity, the points you can earn in connection with completing any Qualified Activity and/or any limitation placed on total points you can earn in connection with any Qualified Activity. For a complete list of Qualified Activities and the corresponding number of points you can earn for each Qualified Activity, visit referral.rewards.vonagebusiness.com. Vonage’s decision with respect to number of points accumulated are final and binding.

Points will be deposited in your account within 24 hours of completed Qualified Activity, with the exception of Qualified Referral points which will be deposited in your account within 24 hours after referral has been qualified. You can view your point balance by visiting referral.rewards.vonagebusiness.com and visiting the Your Rewards tab.

As part of the Program, a personal link will be generated for you. This personal link will be included as part of any share message generated through the referral tools on the Referral Website. If you wish to create your own share message off of the Referral Website, you should be sure to include the personal link and a message stating that you are participating in this Program and are eligible to receive rewards. Note that you will not receive points for any such share that takes place outside of the Referral Website; however, you can still receive points if someone clicks through using your link who is deemed to be a Qualified Referral.

You agree not to abuse the sharing tools in the Referral Website by conduct which is detrimental to the interests of Vonage, including without limitation, attempting to accrue points or redeem points in a manner inconsistent with these Terms or the intent of these Terms, attempting to earn points through illegitimate channels, participating in redemption fraud, or tampering with Program or its tools.

Share via Email Conditions/Restrictions: If you wish to share via email, a personal link will be generated by the Referral Website which you must include in your email. Your email must expressly state that you are participating in this Program and will receive points. Your email must be created and distributed in a personal manner that is appropriate and customary for communications with friends, colleagues and family members. Note: You can only refer any friend, colleague or family member via email one-time in any calendar year. Bulk email distribution, distribution to strangers, or any other promotion of a personal link in a manner that would constitute or appear to constitute unsolicited commercial email or "spam", in Vonage's sole discretion, is expressly prohibited and may be grounds for immediate termination from the Program.

Qualified Referral Conditions/Restrictions: For the purpose of this Program, a "Qualified Referral " is defined as a new contact in a decision-making role at an organization, which organization is not a current Vonage Business client, and which organization is not already registered as a Vonage Business lead that is in the market for and in a position to purchase a hosted PBX system from Vonage Business. Once a referral is submitted, it is reviewed to determine if it is a Qualified Referral by Vonage Business.

How to Redeem Points: To redeem your points for a reward item, the user will need to visit the "Your Rewards" tab and select the reward they wish to receive. The user will be asked to confirm the requested reward item. Once confirmed, Vonage Business will validate the request to ensure the user"s account has enough points to redeem the reward selection. Rewards will be emailed to the user within 48 hours of request. Each reward item has its own specific rewards point value as set forth within the Referral Website. Points will be subtracted from your account once the reward order is placed. Once used to claim a reward, points will not be reinstated to your account. The number of points required to redeem for a reward item are subject to change at any time without notice. Vonage reserves the right to limit the Qualified Activities if an account is inactive, as determined by Vonage in its sole discretion. Maximum Redemption within a calendar year is 10,000 points. Remaining points will roll over into the next year, unless there is no activity for 12 months. All rewards are subject to applicable taxes.

Point Expiration/Restrictions: Vonage reserves the right to expire points if you have no activity during a 12 month period. In addition, if you choose to deactivate your account, your unused points expire as of the day your account closes. Vonage may, at its discretion, send you a notification after eleven (11) months of inactivity to remind you that your points will expire upon the 12th month of inactivity. However, it is your responsibility to monitor your account status. Points have no cash value. Points are non-transferable and are void if transferred, bartered or sold.

Rewards: From the Referral Website, click on the Your Rewards tab for a current list of reward items. Reward items are subject to change without notice. Reward items will be provided on a first-come, first-serve basis. Once a reward item has been depleted, no more of the item will be given. Additional terms and conditions may apply and will be set forth on the Referral Website. Reward items will be provided "as is" with no warranty or guarantee, either express or implied by Vonage. Gift cards are subject to terms and conditions specified by issuer. All reward item details are at Vonage’s sole discretion. You cannot transfer, substitute or redeem rewards for cash. Vonage reserves the right to substitute a reward item of comparable or greater value, at its sole discretion. Vonage is not responsible for lost or stolen reward items once issued. You are responsible for all federal, state and local taxes as well as any other costs or expenses associated with a reward item not specified herein or within the Referral Website as being provided. Rewards are considered taxable income and are subject to local, state and federal taxes. When the value of the reward items for which you have redeemed points reaches $600 or more in a calendar year, a 1099 tax form will be generated and mailed to you for tax reporting purposes. Vonage recommends that you keep all account statements sent to you when you redeem points for reward items for your record keeping purposes.

Reward items will be emailed to the email address provided at time of registration or, if applicable, the mailing address provided at time of registration. You are responsible for updating your registration information. No reward items will be shipped to destinations outside the United States. Reward items will be delivered within approximately two (2) weeks from the date redemption request is fully processed. Released Parties (as defined below) shall not be liable for any damages, losses or delays in connection with any shipments. Inquiries regarding reward items ordered and not received must be received by Vonage within 6 months after the initial redemption date. Thereafter, Vonage will have no obligation to re-send rewards to you. Vonage reserves the right, but has no obligation, to adjust your point balance for reward items returned or reward redemptions not completed or cancelled.
